Protecting NSTP'S Brand Name and Goodwill

ANOTHER attempt is believed being plotted to flog the New Straits Times Press Malaysia Berhad’s brand name, which may see the venerable company being taken private.

I hope this not true!

But if it is, the premise is clear -- to use the goodwill and the stronger financial position of the NSTP to shore up the private terrestrial broadcaster, Media Prima Berhad.

This is reminiscent of failed attempt a few years back to merge Media Prima Berhad and Utusan Melayu Berhad. It’s not clear if the Utusan is in this corporate play. The chances are it is not.

The current plot, which may be on the agenda of tomorrow’s sitting of Umno’s Political Bureau, is bound to raise another hackle, especially among the minority shareholders of the NSTP.

They do not cherish seeing their company being taken over by the weaker Media Prime and eventually be de-listed from Bursa Malaysia.

Since Media Prime and the NSTP have a common controlling shareholder, only the minority shareholders and the well-wishers can save the NSTP brand name from being shuttle to the backwater in the name of corporate restructuring.

The Media Prima corporate dealmakers and their independent advisers will almost certainly offer sweeteners to buy the support of the minority shareholders.

Money aside, it’s an insult all the same. Those who are familiar with the history of the two companies know that it was the NSTP that “funded” the establishment of Sistem Televisyen Malaysia Berhad – better known as TV3. STMB was later renamed Media Prima when it acquired its competitors, namely TV7, TV8 and TV9.

Since then, despite the economic crises and changes in ownership and managements, the NSTP remains a strong brand with improving financials.

Today it’s nearly debt-free with gearing ratio of less than 0.04 against Media Prima’s 0.7. Its net tangible assets per share stands at RM4.53 against Media Prima’s RM0.42. Earning wise, NSTP recorded EPS of 22 sen against 10 sen by Media Prima.

It’s clear that Media Prima, in attempting to swallow its larger and stronger sibling, is setting its sight on the latter’s superior financials. Even if Media Prima may attempt to sell the idea of creating a mega media company via the takeover and merger, its financials is too inferior to justify a takeover of the NSTP.

Logically, the opposite should be the case. The NSTP should make a reversed takeover of Media Prima not only because it is stronger financially, but also because it has stronger branding and enjoys a higher level of goodwill.

Having been in the media for 40 years and being associated with the NSPT and, by extension TV3, since 1976 and having battled Halim Saad and his raiders in the later part of 1980s, I think I know enough about how the minds of corporate boys work.

(Halim briefly controlled the NSTP and TV3 in late 1980s and early 1990s via his then corporate vehicle, Renong Berhad. Outside the corporate world, however, we remain friends. I am happy that he’s doing well abroad.)

The corporate dealmakers will tell you that they respect history. They will tell you that treasure good brand names and value shareholders’ goodwill. But these are means to achieving the end, which is bottom line and their key performance indicators (KPI).

Whatever is their objective, the NSPT brand name – created by the visionary move of the late Tun Abdul Razak Hussein and executed by Tengku Razaleigh Hamzah – must never be allowed to be destroyed or undermined.

If the NSTP was used to create STMB/TV3, it should not now be used to prop up the entertainment company. If there is a necessity, the NSTP should be the one taking over Media Prima.

    Nothing new. It has happened times and again.

    UMNO and its numorous investment arms have no mercy for small market players.

    From Fleet Holdings, Hati Budi and what have you, UMNO had been reaping RM Billions from tax-payers hard earnes money in the form of negotiated contracts awarded to its investments' subsidiaries. Through Fleet Holdings UMNO controls NSTP, former of Commerce, Media Prima that controls TV3, Faber Merlin and Paremba; Hati Busi S/B and HalimTan S/B control UEM, Seri Pacific and Seri Ogawa whilst Koperasi Usaha Bersatu (Koop Bersatu) control Idris, Hydrolic, Kwong Yik Bank and Gadek.

    The above companies have uncountable subsidiaries and associates which were given plenty by BN Government.

    I have not mentioned UMNO/MCA investement yet.
    But one must not forget UMNO HQ and BMF. Hence money politics in UMNO became symnonyms/

    Enough is enough . UMNO has to be booted out in forthcoming PRU 13.

  5. I want to make a suggestion that the best candidate for BN to be considered seriously to contest for the Bagan Pinang state constituency of Negeri Sembilan is none other than Dr Halimah Mohd Said, the daugther of Tan Sri Dr Mohd Said, the former Menteri Besar of Negri Sembilan.

    She was an academician aged 59 and comes from a well respected family. Her root is from Linggi and I am very confident that she will be accepted by local people there irrespective of race.

    It will be smooth sailing for BN to campaign with a candidate of high stature like Dr Halimah. What say you, Dato'? She can even be the potential Mentri Besar !!

    Worth trying to approach her whether she is interested to contribute her service to the rakyat.

    I am suggesting this to you because I know you are familiar with those people in power within the UMNO political leaders.

    Eloklah kalau NSTP berada dalam genggaman pihak pengurusan yang kuat mengamalkan konsep demokrasi terutama aspek kebebasan bersuara.

    Bayangkan kalau NSTP jatuh ke tangan kumpulan yang sekarang ini memonopoli ruang bersuara di alam siber. Sudah tentu mereka ini hanya akan membenarkan komentar yang memuji dan membodek pembangkang (PR) sahaja tetapi komentar yang tidak memuji-muji pemimpin pembangkang tidak berpeluang untuk disiarkan!!

    Oleh itu apa yang akan terjadi kepada NSTP kalau ianya dikawal oleh juak-juak PR yang terang-terangan mengamalkan kaedah kuku besi dalam konteks melayani pendapat yang tidak menyebelahi mereka? Apakah akan ada lagi kebebasan bersuara dalam negara ini nanti?

    Walaupun ini adalah senario mendatang berbentuk hipotetikal tetapi rasa-rasanya ia amat berbaloi kalau dapat dikupas oleh Dato' dan semua pelayar yang masih berkeinginan melihat kebebasan bersuara terus melata dan subur!

    Is this is one of the BN/UMNO exit strategy?

    BN is sinkinging further and further every day. Until the dooms day (GE13) they need to detach or salvage all the tools that can be used againts them later.

    What do you think if NSTP that has direct instruction from Prime Minister Office and the Prime Minister is Anwar Ibrahim/Hadi/Kit Siang?

    Sure they will enjoy bombarding UMNO every minutes they have (it is very easy to do it, thanks to the abundance of BN/UMNO corruption issue)

    At least they learn from GE12 when they last minute dissolved Balkis and syphone the money out..(Sorry Sir/Madam, time is out)

    So better to do it now before it is too late.

    And second thing... if goverment could not put their hands on NSTP anymore, they should give it to the Geng Menantu's or Geng Razak & Sons. So the power to spin the media is still under BN/UMNO forever...

    So at The End, UMNO members only came from this 2 geng...

    For them to make it a private entity,they even need more than just money, a political back-up as well.

    Dear Scribe,

    If you really track the progress of NST and TV3, you will find that these were largely well run profitable companies until NST became a tool of the politicians.

    TV3 also lost market share because Ananda Krishnan's Astro was given preference, again, by the politicians.

    Also the formation of NST was due to pressure from Dato Harun within Umno after 1969 to take back control of the media from the British. (Don't glorify visions when none existed.)

    Junus Sudin was the brains behind the purchase and for the foundation of a profitable well-run group until the politicians used the group for their own ends.

    Topiknya adalah NSTP. Atau lebih khusus media cetak. Iaitu bersabit dengan kebebasan bersuara. Dalam konteks ini kebebasan bersuara dengan mudah dapat dinilai menerusi perbandingan antara kelompok-kelompok media yang mewakili pembangkang dan pihak 'establishment'.

    Makanya kalau dibandingkan surat pembaca yang disiarkan dalam NST dengan surat pembaca yang disiarkan dalam harakah atau Malaysiakini dan kalau sekiranya saudara tidak berat sebelah pastinya saudara nampak perbezaannya. Ia amat terserlah dan nyata.

    Surat pembaca dalam NST hampir 99% menghentam golongan "establishment" meskipun media berkenaan bukan dimiliki oleh puak anti-establishment. Kalau mereka (tuan punya media) mahu, semua artikel yang menghentam mereka boleh disekat dengan mudah dan hanya artikel yang menghentam pembangkang yang disiarkan.

    Sedangkan surat pembaca dalam Harakah dan Malaysiakini tidak pula menyiarkan artikel yang menghentam pembangkang meskipun media berkenaan milik pembangkang sebaliknya mereka hanya paparkan artikel yang menghentam pihak lawan.

    Oleh itu adalah jelas bahawa pihak pembangkang begitu 'seriau' untuk menyiarkan artikel yang mengkritik atau mendedahkan kelemahan mereka sendiri walhal pihak lawan mereka (pihak established) tidak pula bersikap sedemikian.

    Ini sudah cukup menggambarkan yang pihak pembangkang telah kalah di tangan pihak established dalam konteks kebebasan bersuara. Justeru, kalaulah mereka bertukar menjadi puak establishment logiknya ialah mereka tidak akan menyiarkan langsung kritikan sebagaimana yang dapat dibaca dalam NST pada hari ini; alamatnya, hanya surat-surat yang membodek tok guru dan lembu-lembu suci sajalah yang memenuhi ruangan akhbar-akhbar aliran perdana.

    Dalam lain perkataan, kalau pembangkang diberi peluang 'naik tocang' dan kalaulah mereka terus mengamalkan budaya sekatan dan budaya 'masuk bakul...' sebagaimana dapat dibaca dalam Harakah dan malaysiakini makanya akan punah-ranahlah kebebasan bersuara.

    The motive for the murder is not yet known. Nothing was stolen.

    Let say, we all respect the history on 28 Jun 2000(if not mistaken itwas about 28 days after Datuk resigned as the Group Editor-in Chief of NSTP), where the disposal of 4,000,000 shares of RM1.00 each in Berita Publishing Sdn Bhd (BPSB) to ALAF POSITIF SDN BHD (APSB) for a total consideration of ONE RINGGIT MALAYSIA only.......

    Outstanding questions are-

    1. Since there was no target financials made available at that time, it was quite difficult to value the BPSB, a wholly owned su co of NSTP. Therefore, until now the minority shareholders of NSTP and public were not aware on how much losses incurred by NSTP in the disposal of this sub co to APSB for only RM1.00.

    2. APSB was incorporated on 29 Jun 1999, and its issued and paid-up capital of only RM100,000 comprising of 100,000 ordinary shares of RM1.00 each.

    Is its financial standing, justified for APSB to acquire BPSB?
    It may be justified if BPSB had accumulated huge deficit in its shareholders funds. may be.....

    Yg Bhg Datuk, please give us some comments and justification on the above two exercises, so that we can understand real issue here...at least we know what Datuk would like to highlight and may be to fight for....

    Just to remind in case if somebody may forget or do not respect history....

    Malaysian Helicopter Services sdn Bhd take over Malaysian Airline System. A small company swallow a giant.Hati Budi Nominees took over United Engineers. Another example ; DRB took over PROTON.
    They were not business success stories but merely leverage buy-out like what you did with Realmild to take over NSTP. Nobody complained then. The banks were giving multiple lines of credit.The Investment Banks made huge fees.Everybody was happy as long as the assets remained in Bumi hands.And the raiders became instant millionaires.Should they fail, the political masters would bail them out anyway.
    There are bumi entreprenuers who are successful without much government support; such as Sapura, Safuan and they don't go raiding companies and stripping the assets.It is different with some like Syed Mokhtar, Naza who are forever trying to take-over profitable giants with high borrowings.
    The SC,MOF and BN would easily grant all the approvals or waivers to facilitate the schemes.
    I wish all the success to Media Prima....

    This latest episode of corporate takeover or 'restructuring exercise' reminds me of Bank of Commerce swallowing Bank Bumiputra. It is all political manuvouer by the 'quick rich' or 'let's make a fast bucks' politicians in 'you bet it' UMNO.

    There is nothing left to chances as far as making money is concerned by these politicians. Let the country go to hell whilst these politicians enjoy the fruit of their seedy brain.

    NST cannot be taken private unless PM Najib and UMNO chiefs are behind such a move. That much must be recognised!!

    And if PM Najib and UMNO are NOT behind this move, and ddo not move to block it, then UMNO is in real trouble!

    So, the real agenda must be that there is genuine fear in UMNO that they will not win GE 2013 and this must be a move to prevent control of NST falling into the hands of the Opposition.

    This leaves Najib's 1 M'sia in tatters, doesn't it?

    There was an era when the British could not countenance the Times falling into non-Conservative hand. But in the '80's, with the coming of Margaret Thatcher's free-market economy run riot, 'Digger' Murdoch, then an Australian, took control of the Times which was regarded as quintessentially English!!

    Today the Times thrives and is more profitable than it ever was under truly English ownership.

    When all is said and done, it's about business and dollars and cents. It may be that with a dwindling readership and stiff competition from Star, Harakah, Suaram and On-line Mkini and M'sian Insider, NST has no choice but to go private or sell out!!

    At least you are benefiting from the group by buying the Berita Publishing at one ringgit.What a deal.You are no different like other UMNO leader who got the govertment contract without tender.

    1. Death warrant has been signed and sealed by Political Bureau of Umno. Najib upped hid ante. Dollah failed to merge Media Prima and Utusan Melayu in 2006. Kalli secretly objected to the deal. Najib won’t repeat Dollah’s mistake and there’s no Kalli in the NSTP now only yes Dato’ Seri men and women.

    NSTP Berhad is a Sdn Bhd as we speak.

    2. Be forewarned Datuk, your powerful friends in Media Prima and NSTP are turning against you for exposing this sinister scheme. They are sending their cyber troopers to attack your blog with the inuendos and hearsays.

    They can’t defend the takeover, but they will strip you naked if you can.

    3. Don’t worry Datuk, the NSTP going private will not kill the NST newspaper. Bad journalism will kill the NST. Nobody is afraid of anybody anymore Datuk!

    Your era and Tan Sri Samad Ismail’s era had long gone. Accept it.

    4. If I were you Datuk, I would use my knowledge of business to fight for the interest of the minority shareholders who will be forced by hook or by crook to sell off their NSTP shares to Media Prima.

    Apple for apple Datuk, Media Prima shares can never ever match those of the NSTP.

    5. So long NSTP. Somebody will make big bucks from this deal Datuk, not the least the majority shareholders and the power than holds the lever.

    Most of us dropped NSTP such a long time ago that bringing the matter up in the manner that you did is like Flogging a Dead Horse....
    Same as all the hulabaloo about MIC.. Also a dead horse that don't need flogging!
    Come to think of it UMNO may end up being a Dead Horse at the rate things are going!!

    1. Jika apa yang Datuk andaikan itu menjadi kenyataan maka jelaslah bahawa kepimpinan Umno sekarang masih belum serik tentang hukuman yang telah dijatuhkan oleh rakyat semasa PRU 12. Jelaslah yang mereka masih fikirkan bahawa rakyat masih boleh menerima segala tindakan yang membodohkan rakyat selama ini seperti yang dilakukan sejak PRU 11 dulu.

    2. For the rakyat, enough is enough. I don't think they can tolarate anymore of these. I am very sure the rakyat can sence the objective behind this grand take over exercise. Though you may not want to reveal the name/names behind this grand take over design, I am sure the rakyat can guess who. Few names will be at the back of rakyat's mind. Who ever the culprit is not that important now, but the consequence and implication of the grand exercise is.

    3. As I said, the Umno leaders seem never learn. They still think the rakyat can accept their old style of leadership. Another typical example of Umno denial syndrome is the TS Isa's issue (the present Umno Teluk Kemang Division Head and an ex Umno Vice President) as a potential candidate for the coming DUN by elction. Being a veteran leader, he should realise that this coming by election is not for him to make a come back. His time is over. Get the new face to lead the DUN. Though he may have won the Ketua Bahagian seat, that does not mean the electorate there can accept him as BN candidate for DUN now.

    4. What is he up to. Is he still eyeing to take over as Negeri's MB? "Jika TS Isa seorang pemimpin yang bermaruah", he should make it open to decline as a candidate in this coming by election. He should make it easier for DS Najib and I bet he will be respected as a true Umno leader.

    5. To me, these two important events will be another test for the Umno leadership to show to the rakyat as to whether they are serious in making a new image comeback.

    I have this feeling that the movers & shakers in BN are themselves not confident of winning PRU13. Seems like nothing is sacred anymore. Anything that are deemed profitable are up for grabs now. Is this their last KOPEK?
